Terms and Conditions of Use

These Terms and Conditions of Use govern the access, download, registration, navigation, contracting, use, and interaction with the Manifestium digital platform, including its mobile app, website, contents, digital services, artificial intelligence features, meditations, visualizations, guided challenges, community, audiovisual materials, subscriptions, and any other current or future related functionality.

For the purposes of this document, "Zentauro Digital," "the Company," "we," or "our" refers to Zentauro Digital S.A. de C.V., a Mexican commercial company that is the owner, operator, and commercial manager of the Manifestium Platform. "Manifestium" or "the Platform" refers to the app, brand, digital experience, and services offered under said name. "User" refers to any person who accesses, downloads, installs, registers, navigates, uses, contracts, or interacts with the Platform.

Article 1. Acceptance of Terms

  • 1.1. By downloading, installing, accessing, registering, navigating, contracting, using, or interacting with the Manifestium Platform, the User declares to have read, understood, and fully accepted these Terms and Conditions, as well as the Privacy Policy, payment policies, cancellation policies, community rules, and other complementary documents that Zentauro Digital S.A. de C.V. makes available.
  • 1.2. If the User does not agree with these Terms, they must refrain from using the Platform, delete the app from their devices, and cancel any active subscription according to the applicable mechanisms of the corresponding digital store or payment provider.
  • 1.3. Continued use of the Platform after any modification to these Terms will constitute acceptance of the updated version.

Article 2. Company Identification and Nature of Manifestium

  • 2.1. "The Company," "we," "our," or "Zentauro Digital" refers to Zentauro Digital S.A. de C.V., a Mexican commercial company that is the owner, operator, and commercial manager of the Manifestium Platform.
  • 2.2. "Manifestium" or "the Platform" refers to the application, brand, digital experience, website, tools, contents, services, interfaces, artificial intelligence features, meditations, visualizations, guided challenges, community, and other current or future functionalities offered under that trade name.
  • 2.3. Manifestium is a digital platform for wellness, meditation, visualization, conscious manifestation, personal development, general emotional support, guided challenges, audiovisual content, and interaction with artificial intelligence tools.
  • 2.4. Manifestium is not a medical, clinical, psychological, psychiatric, therapeutic, financial, legal, or emergency institution.

Article 3. Medical, Psychological, and Mental Health Limitation

  • 3.1. The User expressly acknowledges that Manifestium does not substitute consultations, diagnoses, treatments, therapies, medications, psychological support, psychiatric care, medical intervention, or any other professional health service.
  • 3.2. If the User suffers or suspects they suffer from severe anxiety, depression, panic disorder, post-traumatic stress, suicidal ideation, self-harm, severe sleep disorders, epilepsy, neurological conditions, cardiovascular diseases, psychiatric conditions, substance dependence, emotional crises, or any relevant medical condition, they must consult an authorized professional before using the Platform.
  • 3.3. The User accepts that practices of meditation, breathing, visualization, introspection, emotional writing, affirmations, personal challenges, or guided exercises may trigger emotional responses, memories, discomfort, sadness, anxiety, sensitivity, fatigue, emotional resistance, or other subjective reactions.
  • 3.4. In the event of a medical, emotional, psychological, or psychiatric emergency, risk of self-harm, suicidal risk, violence, physical danger, or severe crisis, the User must immediately contact emergency services, family members, health professionals, crisis hotlines, or competent authorities. Manifestium does not provide emergency care.

Article 4. Use at User's Own Risk

  • 4.1. The User uses Manifestium at their own risk, judgment, will, and decision-making capacity.
  • 4.2. The User acknowledges that the results derived from the use of the Platform depend on multiple personal, emotional, behavioral, contextual, and external factors, and therefore Zentauro Digital does not guarantee specific results.
  • 4.3. Zentauro Digital does not guarantee that the User will achieve emotional wellness, personal transformation, financial success, healing, positive relationships, mental stability, abundance, material results, external changes, concrete manifestations, or any determined benefit merely by using the Platform.
  • 4.4. Any decision, action, omission, interpretation, expectation, change of habit, recommendation to third parties, or consequence derived from the use of Manifestium will be the exclusive responsibility of the User.

Article 5. Registration, Account, and Security

  • 5.1. To access certain features, the User may be required to create a personal account.
  • 5.2. The User is obligated to provide truthful, complete, lawful, updated, and accurate information during the registration, contracting, or Platform use process.
  • 5.3. The User will be responsible for maintaining the confidentiality of their credentials, passwords, devices, accesses, active sessions, and any activity performed from their account.
  • 5.4. Zentauro Digital may suspend, limit, block, or cancel accounts when it detects misuse, fraud, breach of these Terms, unauthorized access, security vulnerability, feature abuse, identity theft, illegal activities, or risk to other users, the Company, or the Platform.
  • 5.5. The User must immediately notify Zentauro Digital of any unauthorized access, suspected account theft, misuse of credentials, or security incident related to their profile.

Article 6. Minimum Age and Use by Minors

  • 6.1. Manifestium is aimed at adults or, where appropriate, minors who have the express authorization, supervision, and responsibility of their parents, guardians, or legal representatives.
  • 6.2. Zentauro Digital assumes no responsibility for the use of the Platform by minors without adequate authorization, supervision, or consent.
  • 6.3. The parent, guardian, or responsible party who allows, recommends, or facilitates the use of Manifestium to a minor will be responsible for evaluating the suitability of the content, supervising its use, and addressing any emotional, psychological, or behavioral reaction that may arise.
  • 6.4. Zentauro Digital may restrict, suspend, or delete accounts when it becomes aware of unauthorized use by minors or when necessary to comply with laws, digital store policies, or child protection standards.

Article 7. Limited License of Use

  • 7.1. Zentauro Digital grants the User a limited, personal, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use Manifestium solely in accordance with these Terms.
  • 7.2. This license does not imply sale, assignment, transmission, transfer, or authorization of commercial exploitation over the Platform, its software, contents, brand, designs, texts, images, audios, videos, interfaces, algorithms, databases, models, flows, functionalities, or technological structure.
  • 7.3. The User may not copy, reproduce, modify, adapt, translate, distribute, sell, rent, sublicense, decompile, reverse engineer, extract code, create derivative works, commercially exploit, or misuse any element of Manifestium.
  • 7.4. The license will automatically terminate when the User breaches these Terms, cancels their account, loses the right of access, or when Zentauro Digital suspends or terminates the service.

Article 8. Intellectual Property

  • 8.1. All intellectual, industrial, copyright, trademark, commercial, technological, and design property rights related to Manifestium belong to Zentauro Digital, its owners, suppliers, licensors, or authorized third parties.
  • 8.2. This includes, but is not limited to: trade name, Manifestium brand, logos, symbol, interfaces, texts, meditations, visualizations, scripts, audios, music, images, videos, animations, visual effects, navigation structure, databases, prompts, artificial intelligence flows, algorithms, designs, software, product architecture, user experience, and promotional materials.
  • 8.3. No User acquires any right over Manifestium's intellectual property by downloading, installing, contracting, using, or interacting with the Platform.
  • 8.4. Any unauthorized use may result in account suspension, civil, administrative, or criminal claims, injunctions, compensations, and other applicable legal actions.

Article 9. Third-Party Content, Images, Videos, GIFs, Music, and Visual Resources

  • 9.1. Manifestium may use, integrate, or display images, videos, illustrations, animations, GIFs, music, sound effects, visual resources, design elements, libraries, resource banks, licensed materials, public domain content, free-to-use resources, artificial intelligence-generated content, or materials provided by third parties.
  • 9.2. Zentauro Digital strives to use its own, licensed, authorized, permitted, royalty-free, public domain materials, or those available under conditions compatible with the use of the Platform.
  • 9.3. If any third party considers that visual, audio, audiovisual, graphic, or digital content violates their rights, they may formally notify Zentauro Digital through the official contact email, providing identification of the claimed material, proof of ownership or legal representation, description of the alleged infringement, and contact details.
  • 9.4. Zentauro Digital may provisionally remove, replace, block, modify, or suspend any claimed content, without this implying an admission of liability, infringement, or fault.
  • 9.5. The User acknowledges that certain materials may be subject to third-party terms, external licenses, usage restrictions, or variable availability.
  • 9.6. Zentauro Digital will not be responsible for claims arising from the misuse, download, reproduction, capture, redistribution, exploitation, modification, or unauthorized use the User makes of images, audios, videos, GIFs, designs, or contents available on the Platform.

Article 10. Artificial Intelligence

  • 10.1. Manifestium may integrate artificial intelligence systems to generate, personalize, suggest, adapt, or respond to content related to general wellness, meditation, visualization, challenges, emotional support, motivation, personal reflection, and inner development.
  • 10.2. The User acknowledges that artificial intelligence does not possess consciousness, clinical criteria, professional judgment, true human empathy, medical capacity, therapeutic capacity, legal capacity, nor the ability to comprehensively evaluate complex personal circumstances.
  • 10.3. AI-generated responses may be inaccurate, incomplete, outdated, subjective, general, automated, or unsuitable for the User's particular situation.
  • 10.4. The User must not make medical, psychological, legal, financial, family, work-related, personal, or emergency decisions based exclusively on AI-generated responses within Manifestium.
  • 10.5. Zentauro Digital may monitor, review, limit, filter, adjust, suspend, or remove AI features for security purposes, service improvement, legal compliance, abuse prevention, quality control, or user protection.
  • 10.6. The User agrees not to use the AI to generate illegal, offensive, discriminatory, sexual, violent, self-harming, fraudulent, defamatory, misleading, invasive, threatening, hateful content, or content contrary to third-party rights.

Article 11. Community, Comments, and User-Generated Content

  • 11.1. Manifestium may allow Users to publish, share, or interact via comments, experiences, reviews, messages, photographs, texts, responses, posts, display names, or other contents.
  • 11.2. The User will be solely responsible for the content they publish, share, or transmit within the Platform.
  • 11.3. It is prohibited to publish content that is illegal, offensive, discriminatory, defamatory, misleading, violent, sexual, harassing, threatening, invasive, fraudulent, unauthorized commercial, self-harming, hateful, contrary to morals, contrary to third-party rights, or that may affect the security of other users.
  • 11.4. The User declares they hold all necessary rights, authorizations, licenses, and permissions regarding the content they publish.
  • 11.5. By publishing content on the Platform, the User grants Zentauro Digital a worldwide, royalty-free, non-exclusive, sublicensable, transferable license for the maximum period permitted by law to store, reproduce, adapt, display, distribute, moderate, remove, translate, publicly communicate, and use said content to operate, improve, promote, and protect Manifestium.
  • 11.6. Zentauro Digital may moderate, hide, remove, restrict, report, or block content or accounts when deemed necessary to protect the Platform, comply with digital store policies, fulfill legal obligations, or preserve community safety.
  • 11.7. Zentauro Digital is not obligated to monitor all user-generated content but reserves the right to do so.

Article 12. Prohibited Conduct

  • 12.1. The User agrees not to engage in the following conduct:
    • Use the Platform for illegal, fraudulent, abusive, or unauthorized purposes.
    • Attempt to access accounts, systems, servers, data, or restricted areas without authorization.
    • Reverse engineer, decompile, copy, modify, or exploit the software.
    • Use bots, scraping, automation, data mining, or massive information extraction.
    • Interfere with the security, stability, availability, or functioning of the Platform.
    • Upload viruses, malware, harmful code, corrupted files, or malicious instructions.
    • Impersonate others or provide false information.
    • Use the Platform to harass, threaten, defame, discriminate against, or harm third parties.
    • Attempt to manipulate payment systems, subscriptions, credits, promotions, or benefits.
    • Share, resell, sublicense, or commercially exploit accounts, content, or access.
    • Publish content that violates copyright, image rights, privacy, trademark, or intellectual property rights.
    • Use the Platform for medical, psychological, legal, or security emergencies.
  • 12.2. Breach of this article may result in suspension, blocking, account cancellation, content removal, access restriction, reporting to authorities, and the exercise of legal actions.

Article 13. Subscriptions, Payments, Renewals, and Cancellations

  • 13.1. Manifestium may offer free plans, free trials, basic plans, premium plans, annual plans, AI credits, in-app purchases, paid content, promotions, or recurring subscriptions.
  • 13.2. Payments may be processed by digital stores, payment gateways, banks, external providers, or authorized third parties. The User acknowledges that these third parties may apply their own terms, fees, renewal policies, cancellation policies, refund policies, billing policies, security measures, and customer support.
  • 13.3. Unless otherwise indicated, subscriptions may renew automatically at the end of each contracted period, charged to the registered payment method.
  • 13.4. The User is responsible for canceling their subscription before the renewal date if they do not wish to continue with the service.
  • 13.5. Canceling a subscription prevents future charges but does not necessarily result in a refund for already paid periods, unless applicable law, the digital store, or the corresponding payment provider provides otherwise.
  • 13.6. Zentauro Digital may modify prices, plans, benefits, features, credits, promotions, free periods, or commercial conditions, notifying the User when legally or commercially necessary.
  • 13.7. Zentauro Digital will not be responsible for billing errors, rejections, holds, duplicate charges, bank failures, payment disputes, or problems attributable to digital stores, banks, payment processors, or third parties.

Article 14. Free Trials, Promotions, and Credits

  • 14.1. Manifestium may offer free trials, discounts, promo codes, temporary accesses, AI credits, launch benefits, or special promotions.
  • 14.2. Promotions may be subject to specific conditions, validity, availability, geographic restrictions, usage limitations, eligibility, and changes without prior notice.
  • 14.3. Zentauro Digital may cancel promotions, credits, benefits, or accesses when it detects abuse, fraud, duplication, manipulation, misuse, technical error, or breach of these Terms.
  • 14.4. Credits, promotional accesses, or free benefits are not redeemable for cash, do not generate permanent acquired rights, and may expire according to applicable rules.

Article 15. Availability, Changes, and Service Continuity

  • 15.1. Zentauro Digital may modify, update, suspend, interrupt, limit, delete, or replace features, content, plans, interfaces, providers, AI models, audios, challenges, sections, designs, or services of Manifestium.
  • 15.2. Zentauro Digital does not guarantee continuous, uninterrupted, error-free, secure, exact, universally compatible, or permanent availability.
  • 15.3. The User acknowledges that the Platform may experience failures, interruptions, maintenance, incompatibilities, technical errors, delays, loss of availability, forced updates, or changes due to internal or external causes.
  • 15.4. Zentauro Digital will not be responsible for damages, losses, frustration, interruptions, unfulfilled expectations, inability to use, loss of data not attributable to direct intent, device incompatibility, connectivity errors, or third-party failures.

Article 16. Personal Data and Privacy

  • 16.1. The processing of personal data will be carried out in accordance with the Manifestium Privacy Policy issued by Zentauro Digital and applicable personal data protection legislation.
  • 16.2. The Platform may process identification, contact, account, payment, preference, interaction, usage habit, emotional response data provided by the User, session history, technical device information, analytics, communications, and other data necessary to operate the service.
  • 16.3. Some data provided by the User could have a sensitive or intimate nature if it reveals emotional, psychological, health aspects, beliefs, personal habits, or internal states. The User must refrain from providing information they do not wish to share or consider particularly delicate.
  • 16.4. Zentauro Digital will implement reasonable administrative, technical, and physical measures to protect User information.
  • 16.5. The User may exercise their rights of access, rectification, cancellation, and opposition, as well as revoke their consent, through the channels established in the Privacy Policy.
  • 16.6. Zentauro Digital may retain certain data when necessary to comply with legal, tax, accounting, regulatory, contractual, security, fraud prevention, legal defense, or digital store policy obligations.

Article 17. Information Security

  • 17.1. Zentauro Digital will take reasonable measures to protect the Platform and User data against unauthorized access, loss, alteration, misuse, disclosure, or destruction.
  • 17.2. The User acknowledges that no digital system is completely secure and that the use of the internet, cloud services, artificial intelligence, digital stores, external providers, and personal devices involves technological risks.
  • 17.3. Zentauro Digital will not be responsible for breaches resulting from User negligence, weak passwords, compromised devices, insecure networks, malware, unauthorized access to email accounts, third-party failures, or events beyond the Company's reasonable control.

Article 18. Recommendations, Results, and Testimonials

  • 18.1. Manifestium may display testimonials, experiences, reviews, quotes, personal results, user stories, or promotional materials related to wellness, meditation, visualization, or personal transformation.
  • 18.2. Such testimonials represent individual experiences and do not constitute a guarantee of similar results for other Users.
  • 18.3. Zentauro Digital does not guarantee that using the Platform will generate specific emotional, spiritual, physical, economic, professional, relational, or material changes.
  • 18.4. Any reference to abundance, manifestation, energy, clarity, wellness, transformation, purpose, self-love, motivation, or success must be understood as motivational, aspirational, reflective, and personal development content, not as an objective, medical, financial, or legal promise.

Article 19. Recommending the Platform to Third Parties

  • 19.1. The User may recommend Manifestium to third parties at their own risk.
  • 19.2. The User acknowledges that recommending, sharing, lending, facilitating, or inducing the use of the Platform to family members, friends, minors, vulnerable people, patients, clients, employees, or third parties does not transfer any responsibility to Zentauro Digital for how these third parties use, interpret, or experience the Platform.
  • 19.3. Anyone recommending Manifestium must refrain from presenting it as a medical treatment, professional therapy, guaranteed solution, clinical substitute, emergency tool, or promise of specific results.
  • 19.4. Zentauro Digital will not be responsible for statements, promises, interpretations, misuse, or recommendations made by Users, unauthorized affiliates, influencers, third parties, or people outside the Company.

Article 20. Limitation of Liability and Assumption of Risk

  • 20.1. To the maximum extent permitted by applicable law, the User agrees that Manifestium, Zentauro Digital, its partners, shareholders, directors, administrators, employees, developers, providers, licensors, affiliates, commercial allies, representatives, and collaborators will not be liable for direct, indirect, incidental, special, consequential, punitive, moral, emotional, economic, technological, reputational, or any other damages arising from the use, inability to use, interpretation, reliance, or interaction with the Platform.
  • 20.2. This limitation includes, but is not limited to: loss of data, loss of opportunity, loss of profits, service interruption, unfulfilled expectations, personal decisions, emotional distress, frustration, misuse, AI errors, technical failures, third-party content, payment issues, account suspension, content removal, or results different from those expected.
  • 20.3. The User assumes the risks associated with the use of meditations, visualizations, breathing exercises, introspection, affirmations, guided challenges, community, artificial intelligence, and audiovisual materials.
  • 20.4. No provision of these Terms shall exclude liabilities that cannot be excluded under applicable law, including unrenounceable consumer rights when applicable.
  • 20.5. Zentauro Digital's total cumulative liability to the User, for any claim related to the Platform, shall be limited to the amount actually paid by the User to Manifestium during the three months preceding the event that gave rise to the claim, unless applicable law establishes a different limitation or prevents such limitation.

Article 21. Exclusion of Warranties

  • 21.1. Manifestium is provided "as is" and "as available," without express or implied warranties of uninterrupted operation, fitness for a particular purpose, accuracy, usefulness, compatibility, availability, absolute security, absence of errors, specific results, or satisfaction of personal expectations.
  • 21.2. Zentauro Digital does not guarantee that the contents are suitable for all Users, ages, emotional conditions, beliefs, cultures, health states, or personal circumstances.
  • 21.3. The User acknowledges that the experience with wellness content, meditation, visualization, and AI is subjective and can vary widely from person to person.

Article 22. Indemnification

  • 22.1. The User agrees to defend, indemnify, and hold Zentauro Digital, Manifestium, its partners, directors, employees, providers, affiliates, developers, licensors, and representatives harmless from any claim, demand, complaint, proceeding, damage, loss, fine, penalty, expense, legal fee, or liability arising from:
    • Breach of these Terms.
    • Misuse of the Platform.
    • Publication of illegal or infringing content.
    • Violation of third-party rights.
    • Unauthorized use of accounts, images, brands, works, or data.
    • Improper recommendation of Manifestium to third parties.
    • Use of the Platform as a substitute for professional services.
    • Fraud, manipulation, abuse, negligence, or willful misconduct by the User.
  • 22.2. This obligation will survive even after account cancellation, service termination, or deletion of the app.

Article 23. Suspension, Cancellation, and Termination

  • 23.1. The User may cancel their account using the mechanisms available within the Platform or through the corresponding support channels.
  • 23.2. Zentauro Digital may suspend, restrict, or cancel User access when it detects breaches of these Terms, misuse, fraud, abuse, security risks, rights infringement, payment default, suspicious activity, third-party claims, or legal requirements.
  • 23.3. Account cancellation does not release the User from pending obligations, accrued payments, liability for misuse, applicable indemnifications, or restrictions derived from these Terms.
  • 23.4. Zentauro Digital may delete inactive accounts, associated data, or contents in accordance with its internal policies, Privacy Policy, legal obligations, and technical capabilities.

Article 24. Digital Stores, Distribution Platforms, and Third Parties

  • 24.1. The User acknowledges that Manifestium may be distributed through digital stores like Apple App Store, Google Play, or other platforms, which have their own independent terms, policies, payment, cancellation, refund, privacy, and usage rules.
  • 24.2. Zentauro Digital does not control and assumes no liability for decisions, charges, rejections, suspensions, reviews, cancellations, commissions, policies, availability, errors, changes, or restrictions imposed by these stores or external providers.
  • 24.3. In case of conflict between a digital store's rules and these Terms regarding payments, subscriptions, cancellations, or refunds, the conditions of the corresponding store may prevail to the extent applicable.

Article 25. External Links, Services, and Providers

  • 25.1. The Platform may integrate third-party services, including payment processing, cloud services, analytics, artificial intelligence, audio playback, notifications, databases, authentication, marketing tools, technical support, digital stores, or other providers.
  • 25.2. Zentauro Digital will not be responsible for failures, interruptions, errors, losses, leaks, changes, decisions, policies, costs, or damages attributable to external providers beyond its reasonable control.
  • 25.3. The use of external services may be subject to independent terms, conditions, privacy notices, and policies.

Article 26. Modifications to the Terms

  • 26.1. Zentauro Digital may modify these Terms at any time to reflect legal, technical, operational, commercial, regulatory, security, feature, AI, subscription, or business model changes.
  • 26.2. When reasonably possible or legally necessary, Zentauro Digital will notify the User via the Platform, email, visible notice, document update, or any other available means.
  • 26.3. Continued use of Manifestium after the publication of changes will imply acceptance of the updated Terms.

Article 27. Force Majeure

  • 27.1. Zentauro Digital will not be responsible for breaches, interruptions, delays, or failures resulting from events beyond its reasonable control, including natural disasters, power outages, internet failures, cyberattacks, labor disputes, acts of authority, regulatory changes, provider failures, digital store restrictions, health emergencies, wars, riots, technological blockades, or force majeure events.

Article 28. Assignment of Rights

  • 28.1. Zentauro Digital may assign, transfer, sublicense, merge, sell, restructure, or transmit wholly or partially its rights and obligations related to Manifestium, including assets, brand, technology, users, contracts, databases, operations, or business unit, in accordance with applicable law and the Privacy Policy.
  • 28.2. The User may not assign or transfer their account, rights, obligations, or access to the Platform without prior written authorization from Zentauro Digital.

Article 29. Severability

  • 29.1. If any provision of these Terms is deemed invalid, illegal, abusive, null, or unenforceable by a competent authority, such provision will be interpreted, limited, or modified to the extent necessary to make it valid and enforceable.
  • 29.2. The invalidity of one provision will not affect the validity, binding nature, and enforceability of the rest of the Terms.

Article 30. Applicable Law and Jurisdiction

  • 30.1. These Terms will be governed and interpreted according to the applicable laws of the United Mexican States.
  • 30.2. For the interpretation, fulfillment, and controversies derived from these Terms, the parties submit to the jurisdiction of the competent courts of the city of Mérida, Yucatán, Mexico, unless applicable consumer or user legislation establishes a different unrenounceable jurisdiction.
  • 30.3. Before initiating any judicial procedure, the parties will seek to resolve any dispute in good faith through direct communication with Zentauro Digital, without limiting any unrenounceable rights of the User under applicable law.

Article 31. Contact

  • 31.1. For any doubt, request, claim, legal notice, content report, exercise of rights, intellectual property notification, or communication related to these Terms, the User may contact Zentauro Digital via email: feedback@manifestium.life.
  • 31.2. Zentauro Digital may enable additional support channels within the Platform, website, digital stores, or official media.

Manifestium is a wellness and personal development tool. It does not substitute medical, psychological, psychiatric, or professional care. If you are experiencing a crisis, thoughts of self-harm, or an emergency, immediately contact emergency services or a healthcare professional. Use this experience at your own risk.
